There's alot you must not know then. Who said "they" were going to give you $300 for your phone? I said "sell" it. If you don't know how to do that, then I'll give ya $100 for it when you're ready to part ways with your iphone 3gs. How about that?
As for the early upgrade option from ATT, they'll allow you to upgrade at the fully subsidized price a year after your purchase. The only catch is that you have to be on a $99/mo or higher plan.
